Introduction

  1.  These Tiens Policies Procedures (Standard Version) (hereinafter referred to as TPP) will be become effective and supersede all its earlier versions from the  July 2025
  2.  The TPP is aimed at maintaining a sound order in the direct-selling market and safeguarding the rights and interests of distributors. Therefore, every distributor must carefully read the TPP and ensure that they understand both their obligations and their rights and interests. Any deviations from the provisions of the TPP may lead to termination of distributorship, forfeiture of bonuses and other rights and interests.
  3.  If any of the provisions in the TPP is in contradiction of any local laws, regulations or administrative rules, the latter will override. Any adaptations or revisions that local branches of Tiens Group may deem necessary according to their actual conditions must be referred to China Headquarters (CHQ) for approval. Then the local branches must inform their distributors accordingly.
  4.  The CHQ reserves the right to revise and explain the provisions of the TPP from time to time.

Section I

Definition of Terms Used

As far as your Tiens contracts and all written documents printed and published by Tiens Group are concerned, words and terms below must be construed as follows unless otherwise stipulated:
1. Tiens
Tiens refers to Tiens Group and all the subsidiaries it sets up globally under the name of Tiens or Tianshi.
2. CHQ
CHQ refers to Tiens Head Offices established at No.18 Xinyuan Road, Wuqing Development Area, New-Tech Industrial Park, Tianjin, China.
3. Tiens Distributorship
Tiens Distributors refers to individuals who, upon becoming eligible according to Tiens Business Plan, are authorized to sell Tiens products and those Tiens distributes, and to sponsor others to become same. The Tiens Distributorship is only contractual between Tiens and the Distributor. They do not fall in the category of staff / employee of the company.
4. Tiens Distributor Business Plan
Tiens Distributor Business Plan comprises all compensation and rewards plans, sponsoring procedures stipulated by Tiens, and all methods, rules and regulations and measures Tiens lay down to represent to distributors Tiens products, Tiens business and the lines along which to operate thereof. Tiens Distributor Business Plan is included in Tiens Business Guide, and Tiens has the right to make revision to it according to actual conditions.
5. Sponsorship
Any Tiens distributor, under whose introduction other persons apply to join Tiens business and are approved to become Tiens distributors, is regarded as having sponsored the new distributor and, as such, must perform their duties of providing trainings and supports for the new distributors.
6. TPP

7. Tiens Products
Tiens Products refer to products manufactured or supplied by Tiens or its OEM/ODM suppliers and distributed by Tiens, and products, sales support goods, video/audio materials or services provided by Tiens and sold or used by its distributors according to the TPP.
8. Tiens One Body Multiple Wings business conglomeration
Tiens new One Body Multiple Wings strategy refers to the development of new tourism, new education, new media, and new hotel business based on the new cross-border model, with global cross-border new direct sales business (in oversea market) and new e-commerce as the dual core business segments. The new global cross-border direct sales business model (in oversea market) realizes the model of joining in one country and enjoying global benefits through the innovative mechanism model, and the realization of a global income network to achieve innovative incentive benefits.
The new e-commerce business model, by promoting the socialization of e-commerce, focuses on the cross-border purchase of social rigid demand products, and builds a new global cross-border membership e-commerce model based on the new cross-border operation system.
The new tourism, with All Legend Travel Holding Group as the main body, relying on the new direct sales, new e-commerce network system and membership base covering the world to innovate mechanism models, and transforming traditional tourism into dedicated new tourism with new thinking and methods.
The new education relies on the strong strength of the group for more than 20 years of social training and higher education, numerous resources and management experience, integrates advantageous resources, integrates the elements of the times, and builds an education holding group covering the world to promote each other and develop together with other business sectors.
The new media is creating media cooperation alliances, building a global media convergence alliance making full use of global self-media resources and sharing the world flow, through the establishment of "headlines for consumers" development models, and with the focus on "new media”.
The new hotel business, relying on All Legend Hotel Group, on the basis of creating a boutique model, accelerates the global expansion of the business layout, and builds a global hotel industry alliance. 

Section II
Tiens Distributorship


1. How to apply for Tiens Distributorship / Rules to follow

1) Any adult citizens (18 years or above) who have capacity for civil conduct according to local laws, irrespective of their Gender or race, are eligible to apply for Tiens

distributorship and enjoy the equal opportunities to become a Tiens distributor.

2) People who are not permitted to engage in direct-selling or business operations according to local laws are not eligible to apply for Tiens distributorship.

3) Regular employees of Tiens Group and their direct relatives are not eligible to apply for Tiens distributorship. (a direct relative refer to the persons related to the employee or his/her spouse by one generation upwards or downwards, e.g. parents, spouse, children and siblings, etc.)

4) Tiens distributors, who are no longer eligible as such according to local laws or Tiens rules, will have their distributorship terminated fr om the date when relevant reasons occur.

5) Tiens distributorship comprises of the eligibility, rank, rights, obligations and responsibilities of Tiens distributors. Tiens distributor number is the only way to identify a Tiens distributor; in other words, each distributorship corresponds to one single Tiens distributor number.

6) On the basis of complying with local laws and regulations, Tiens distributors can have three distributor spots. These three spots must be in real name and in the same sales team network. The distributors shall bear all legal responsibilities for the rights and obligations arising fr om the use of the three distributor spots.

7) A Tiens distributor is not permitted to take distributor spot in any other network. Any ID with Same Name / blood relative’s name which may include parents, spouse, children and siblings, etc. or Same Address; based on proofs in two different networks will be treated as Sponsor Change and liable for punishment as per TPP.

8) It’s not permitted to transfer or sell Tiens distributorship without authorization. In cases of violations of this rule, Tiens will regard the sale or transfer as invalid, and all the legal liabilities and losses incurred therefrom will be borne by the offender.

9) A Tiens distributor is not permitted to be in the direct-selling business of any other company other than Tiens, or to engage in any other direct selling activities other than those organized by Tiens. Otherwise, Tiens is entitled to refuse to recognize and to cancel the offender’s Tiens distributorship.

10) Any Distributor to be identified or claiming himself / herself as a Doctor needs to provide valid proof to the company.

11) Tiens reserves the right to accept or reject the application of any person for Tiens distributorship.

12) Validity and renewal of Tiens Distributorship:

a. A Tiens distributorship is valid from date when the distributorship id granted, and expires on the last day of the 12th business month.

b. Tiens distributors must perform required procedures for renewal before their distributorship expires.

c. In case of failure to renew the distributorship within the valid period, or that Tiens rejects application for renewal within or without the valid period, the Tiens distributorship becomes invalid.

d. In case of violations of the provisions of the TPP or other rules within the valid period, Tiens reserves the right to reject application for renewal of distributorship.

e. For Tiens distributors who fail to renew within the valid period, it’s necessary to follow these rules to re-join Tiens: distributors whose distributorship being disqualified can apply for Tiens distributorship in the next month following the disqualifying.


13) Submission of KYC (Know your Customer) Documents is mandatory at the time a Distributor joins which may include a valid Identity Proof, Age Proof, Bank account proof, Tax account proof. The company has a right to withhold the bonus or any monetary amount due to the distributor till the KYC documents are submitted and verified by the company.


2. Procedures to apply for Tiens distributorship

1) Those who wish to apply for Tiens distributorship must be recommended by authorized Tiens distributor.

2) The applicant shall confirm that he has read the TPP and has completely understood all contents of the Tiens Business before filling out the Tiens distributor Agreement online / offline. He must also abide by all the regulations and stipulations governing Tiens distributors.

3) Tiens distributorship number will be issued upon approval from Tiens, whereby the applicant can become a Tiens distributor.

4) According to the time sequence of an applicant’s submission of Tiens Distributor Agreement and KYC documents, Tiens will recognize the very first distributorship received as the distributor’s first distributorship (main distributorship).

5) After such distributor obtains his/her main distributorship successfully, he/she may intend to apply for second and third distributor spot (affiliated distributorship). If the distributor intends to apply for more distributorship (affiliated distributorship), such distributor should present the main distributor number for the approval on his affiliated distributorship. In case that the distributor is providing false information on the main

distributorship, which is resulting in the conflict of interest in the line of sponsorship, the Tiens company has the right to cancel the second and third or any additional distributor spots.

6) The information the applicant gives should be true and valid; it’s not permitted to borrow, apply in others’ name or use other illegitimate methods to become Tiens distributor e.g. parents, spouse, children and siblings, etc; otherwise, Tiens reserves the right to pursue the relevant liabilities (including instantly terminating the Tiens distributorship).


3. Rules regarding Tiens distributorship for spouses

1) When a legitimate couple applies to join Tiens:

a. If both husband and wife are willing to become Tiens distributor, the spouse can register as one distributorship. By signing jointly on one application, both the husband and wife will have the obligations of Tiens distributorship, and they must abide by the TPP; if either of them falls fowl of it, the other one must take the same responsibility.

b. If one of the couple does not intend, or according to Tiens requirements he/she is not eligible, to be a Tiens distributor, then he/she does not need to sign up for application. He/she has no right to make any claim/decision regarding any behaviour of his/her spouse as Tiens distributor. If he/she intends to join his/her spouse to build Tiens business together, he/she shall obtain formal consent in writing from the spouse, and then apply formally to Tiens. The Tiens distributorship will be considered valid upon the approval by Tiens.

c. The husband and wife are allowed to be in the same network, and either of them is permitted to have their own Tiens distributorship, provided that all their distributorship is in the same team network and that the information has been reported to Tiens. If the spouse intends to register as one distributorship to build Tiens business together, either of them should relinquish all his/her distributorships, and build the other’s Tiens

distributorship as spouse together.

2) If two Tiens distributors get married, either they can retain both their original Tiens distributorships, or either of them can relinquish all his/her distributorships to build the other’s Tiens distributorship as spouse together.

3) Neither of the couple shall conduct any violations in the name of his/her spouse who does not have Tiens distributorship. Once confirmed, Tiens will affix the responsibilities against the one with Tiens distributorship.

4) When divorce occurs between a couple who possess a single Tiens distributorship, the following regulations shall be complied with:

a. Upon agreement between the former couple, the ownership of Tiens distributorship shall be continued by the elected party, and the waived party may apply for a new Tiens distributorship.

b. Should the former couple be unable to reach an agreement, Tiens will temporarily freeze money to the name of the distributorship until an agreement is reached.


4. Inheritance, Transfer and Continuance of Tiens Distributorship

1) If a Tiens distributorship belonged to a couple, when one spouse of the couple passes away, the remaining spouse will be considered as possessing the Tiens distributorship and will inherit all rights and obligations of the deceased.

2) In case that Tiens distributorship belongs to a deceased individual who has a designated inheritor, legal inheritor or designated gift receiver eligible for Tiens distributorship, Tiens will support the latter to apply for all the Tiens distributorships of the deceased and the original individual loses his/her distributorship from the date of inheritance.

3) If a deceased distributor has a designated inheritor, legal inheritor or designated gift receiver who is in possession of Tiens distributorship, the latter must relinquish his/her own distributorships to receive and inherit the deceased distributor’s distributorships.

4) If there is no designated inheritor, legal inheritor or designated gift receiver for a deceased distributor within 6 month of death, or the former gives up the inheritance/gift, Tiens regards the distributor as dropping out of Tiens business, and Tiens has the right to dispose of the distributorship and all of the rewards and other interests thereof.

5) In case a Tiens distributor loses his/her labour capacity or is 65 or older, or unable to continue the business due to career change, Tiens, with a view to continuing to expand Tiens network, permits the distributorship to be passed from one generation to another; the Tiens distributor is allowed to designate in advance, according to his/her own wishes, a direct relative (parents, children, couple or siblings) eligible for Tiens distributorship, so as to pass on all his/her distributorship; the original distributor loses his/her distributorship from the date when it is passed on; if the person who receives the distributorship is already a Tiens distributor, the person must relinquish his/her own distributorships so as to receive all the distributorships of his/her direct relative.

6) Due to any circumstances a Tiens distributor wishes to transfer his / her ID (Name change only) would be allowed with prior permission of the company subject to the fulfilment of the following conditions:

• A written application and an affidavit in stamp paper by the distributor of his intention to transfer the ID with reason.

• No objection letter from the immediate upline Director.

• Transfer within the blood relation which may include parents, spouse, children or siblings.

7) Sponsor Change and Placement shifting is not allowed.

8) In case of any typographical error during the filling of form wherein by mistake a distributor enters wrong sponsor id or placement id then based on application and its approval, the necessary changes would be allowed within the next closing week only calculated from the date of joining; for example, If the joining is done on 1st week of the month then the sponsor / placement change would be allowed till the 2nd week of that particular month.


5. Termination and Re-Application of Tiens Distributorship

1) Termination of Tiens Distributorship means Tiens terminates all the contracts it reached with the concerned Tiens distributor. From the date of issuance of the termination notice, the terminated Tiens distributor will immediately lose all his Tiens Distributorship, rights and interests, including the bonuses generated, offer benefits, pending qualified tours from the concerned Tiens Distributorship.

2) Under following circumstances, a Tiens distributor (including one of the couple) will be notified by letter (Show Cause Notice) from Tiens to make necessary corrections. These include, but no limited to, monitoring and disciplining measures and termination of Tiens distributorship:

a. Providing false information in the Tiens Distributor Agreement (including non-original signature).

b. Distributors are found to have seriously violated the TPP.

c. Distributors who have violated the minor rules in the TPP fail to correct after receiving correction notice from Tiens.

d. Those who violate the laws or have been sentenced to be imprisoned.


3) Under following circumstances, a Tiens distributorship will be terminated:

a) Violation of TPP and no reply / illegitimate reply to Show Cause Notice

b) Joining under a different network i.e. sponsor change without resigning and without the completion of the stipulated period after resignation as per TPP

c) Those who violate the laws or have been sentenced to be imprisoned

d) Those who threaten Tiens employees or does any act of threat, intimidation, or obstruction directed at Company employees in the execution of their duties


4) Under No Circumstances any sponsor changed ID would be eligible for Network shifting to the original line of network i.e. any work done in a sponsor changed new ID, the work done, rank achieved will not be shifted to the original line of network. The new ID will be terminated and such distributor will lose all the benefits from such sponsor changed new ID.


5) In case of Resignation by the distributor, the company will inform the immediate upline Director to mediate and discuss the reason for resignation. The company will give 45 days’ time to the Team Leader Director to persuade for the withdrawal of the resignation and resolve the conflict, if any. If no response is received from the concerned distributor for withdrawal of the resignation, then the ID will be terminated with effect from the date of resignation given to the company.

6) When a Tiens distributorship is terminated, the former distributor loses all his/her position in the network, including, but not limiting to, bonus, ranks and eligibility.

7) Wh ere Tiens distributorship is terminated by spontaneous withdrawal i.e. Resignation, the former-distributor is not allowed to re-apply for a new distributorship until Two Years after the Resignation.

8) Wh ere Tiens distributorship is compulsorily terminated, the former-distributor is not permitted to re-apply for approval or re-join as a new distributor until Two Years after the termination. 

Section III
Rights & Interests and Responsibilities of Tiens Distributorship

1. Rights & Interests of Tiens Distributorship

Tiens Distributorship is entitled to the following rights & interests:

1) To buy, use and promote Tiens products.

2) Participation in Tiens Compensation Plan and other Incentive Plans and receive relevant bonuses and awards.

3) Sponsor other eligible persons to join Tiens to build direct-selling career.

4) Participation in other events, trainings or meetings organized under authorization fr om Tiens.

2. Observance of local laws and regulations

Distributors must abide by all local laws and regulations, especially those laws, rules and commercial rules related to direct-selling operations; distributors must not make any transactions ruled by local government as fraudulent or illegal, nor should they participate in any kind of activity that might compromise Tiens reputation.

3. Observance of Tiens rules and policies

When carrying out any activities related to Tiens business (including retailing, sponsoring and meetings, etc.), Tiens distributors must identify themselves as Tiens distributors. Distributors must always completely abide by the TPP, Tiens business plan and other relevant methods, rules, policies, procedures, regulations, measures and revisions.

4. Observance of product-ordering & selling rules and guarantee of service quality

1) Tiens distributor must order goods directly fr om Tiens branches or its authorized stores.

2) Tiens distributors must sell products at prices prescribed by Tiens.

3) Tiens distributors must offer product demonstration and give verbal explanation of usage and notes shown on product tags.

4) Tiens distributors are not allowed to sale the Tiens products through third party ecommerce platforms.

5. Tiens distributors must conscientiously observe sales supporting materials related rules

1) All journals/magazines and video/audio materials created and published by Tiens are under protection of local copyright laws including TIENS LOGO; without prior permission by Tiens, Tiens distributors or any other person may not reproduce, reprint, produce and copy the above-mentioned materials in whole or in part in any form. Otherwise, all legal liabilities incurred must not be held against Tiens, and should be borne by Tiens distributors themselves; and Tiens has the right to make claims according to law for any losses it may sustain.

2) Tiens distributors can only use the words, audio/video materials published by Tiens and for the sole purpose of helping building Tiens business.

3) Without prior authorization by Tiens, Tiens distributors may not create, publish or sell in any form sales-supporting materials related to Tiens.

4) Tiens Distributors are permitted to make audio/video recordings of all kinds of meetings held by Tiens, provided that the quality of the meetings or the participation of others are not compromised, and that only one copy of audio/video can be made, and that this sole copy can only be used by the distributor himself/herself, and it may not be reproduced, sold or used for other purposes.

6. Tiens distributors must observe online/ offline meetings-governing rules.

1) An online/offline meeting must be called according to the rules of Tiens. A meeting organized by Tiens distributors must have the theme/purpose of training distributors, and is used for promoting Tiens business or Tiens products or products sold by Tiens. The organizer of the meeting may not make any personal benefit beyond the TBP through such meetings to achieve other objectives.

2) The Tiens distributor who owns name/marks of networking/centre must report to Tiens to register such marks and names. The marks cannot be used until being official approved by Tiens. Any network without the prior consent fr om Tiens is not permitted to use such network/centre name/marks to carry out direct-selling activities.

3) A Tiens distributor network, when being engaged in activities that need name/mark to self-identify, must bear the name of “Tiens Distributor” as the main identification, with the name of the network as an auxiliary part.

7. Tiens distributors must correctly promote and use name and trademarks of Tiens and Tiens One Body Multiple Wings Business

1) A Tiens distributor must be aware that all Tiens trademarks, medals, symbolic badges, designs, layout of books/magazines, audio and visual materials, as well as all industrial property rights and copyrights and other rights related to TBP and products used by Tiens are the properties of Tiens. All these have been registered, used and authorized for the exclusive use by Tiens.

2) Particularly, Tiens distributors shall not misuse Tiens and Tiens One Body Multiple Wings Business brand and trademarks in the following ways:

a. Produce or obtain and sell any goods printed with 天狮/ Tiens/Tianshi /Tiens One Body Multiple Wings Business or Tiens symbols and trademarks through other sources than Tiens.

b. Print any Tiens or Tiens One Body Multiple Wings Business brand and trademarks on his vehicles except using the stickers distributed by Tiens or Tiens One Body Multiple Wings Business.

c. Advertise or broadcast business activities or products of Tiens and Tiens One Body Multiple Wings Business in any media.

d. Use the name 天狮, Tianshi, Tiens One Body Multiple Wings Business or Tiens as the name for any organization/business, or authorize others to use such names.

e. Without prior permission of Tiens, it is not permitted to use Tiens / Tiens One Body Multiple Wings Business name or trademarks.

f. It is not permitted to try to register Tiens / Tiens One Body Multiple Wings Business name or trademarks with official or semi-official organizations, or to raise objections in any form or claim any rights about them. Wh ere registrations have been applied for, objections raised or rights claimed, special instructions fr om Tiens must be followed.


8. Responsibilities of Tiens distributors for the promotion of Tiens products and Tiens business

1) In case of all major claims or complaints made by Tiens distributors from his/her network, the distributor must promptly report to Tiens, and provide it with all written materials and dialogues so as to constantly improve the service levels of Tiens.

2) Tiens distributors can only display or sell Tiens products in stores authorized by Tiens; they may not,or delegate others to,sell or display Tiens products on any public occasions. Tiens distributors are also not allowed sale Tiens products online through third party E Commerce Portals.

3) It is not permitted to sell products or recruit Tiens distributors in a door-to-door way, or to sell products or present Tiens business plan to stranger/passers on public occasions.

4) Tiens distributors may not use telemarketing method, fax, flyers, posters, large quantity mailings or other communication methods to promote the sales; and they are not permitted to ask others to join Tiens business in any improper way.

5) Except ads approved by Tiens in writing, it is not permitted to create, publish or release ads promoting products or recruiting distributors; or ads for these purposes in essence.

6) Tiens distributors may not take advantage of the powers of individuals, enterprises or other organizations to sell Tiens products or introduce new Tiens distributors in any improper manner such as intimidation or threats.

7) It is not permitted to represent Tiens, its products, or products it distributes in any exaggerated or unfounded or misleading way.

8) It is not permitted to represent in a distorted way the prices, specifications, quality, functions, grades, ingredients, styles, models, places of origins or supplies details, etc. of Tiens products or products distributed by Tiens.

9) It is not permitted to represent that Tiens products or products distributed by Tiens have sponsors, approvals, functions, auxiliary parts, purposes or merits that they don’t.

10) Tiens products or products distributed by Tiens can only be sold at the prices prescribed by Tiens for local markets.

11) It is not permitted to import or sell any Tiens products or products distributed by Tiens that are not supplied by Tiens, or to export or help others to export Tiens products or products distributed by Tiens.

12) It is not permitted to represent and promote non-Tiens products or products or services distributed by Tiens as Tiens products/services.

13) Tiens distributors may not use Tiens networks to sell products/services which are not manufactured or distributed by Tiens (e.x. insurances, taxes, real estate, investment, etc.)

14) Without prior permission of Tiens, it is not permitted to register or set up websites related to Tiens and use them to release Tiens-related information, product description or business promotion materials.

15) Without prior permission of Tiens, it is not permitted to sell educational courses (medical / non-medical) by using Tiens products and charge fees for such courses (with / without being qualified for imparting such trainings. With / without being registered with appropriate Govt. authorities such as sales tax, fssai, universities etc.)

16) While be engaged in marketing/sales, Tiens distributors are not permitted to make any charges in any other form than prescribed within the rules laid down by Tiens.

17) It is not permitted to disparage, verbally attack Tiens, other Tiens distributors or other lines of business or trades.

18) It is not permitted to make fraudulent behaviours, hoard up products for market speculation, or manipulating sales volumes or disrupt market orders.

19) It is not permitted to join the business of enterprises in the similar lines as, or competing with, Tiens; or instigate or use other Tiens distributors through business relation in Tiens to promote businesses other than that of Tiens. As far as the this TPP is concerned, instigation means to invite or persuade in any other manner other Tiens distributors to, or try to, buy, use, sell these products/services, regardless whether the aim is to gain profits or not.

20) While being engaged in marketing/sales, Tiens distributors must practice what they preach, that is, they are not permitted to viciously spread in the market any negative remarks that are not conducive to Tiens development or hurt Tiens reputation.

21) Tiens distributors must ensure that Tiens is free from any actions, claims, demands or law suits that any individual, group or organizations may take against it as a result of any distortion, fraudulent representation, counterfeiting, threats or intimidation that they as Tiens distributors may cause to Tiens business plan or products. The offending distributor must make compensations to Tiens or parties concerned for any pecuniary losses, damage to reputation and mind, etc., including costs for law suits and other legal actions Tiens may take against the offender.

22) Without prior permission of Tiens, it is not permitted to accept media interviews or reports in the capacity of Tiens distributor.

23) Tiens distributors who develop Tiens businesses across borders must abide by local laws and regulations and conduct business in a legal and compliant manner. If they obtain income locally, they must pay taxes in accordance with the law.

24) Tiens distributors should get rid of a single offline promotion method, keep up with the development of the times, actively try online promotion and social promotion methods. Tiens distributors should strive to cultivate team members to implement the online sales of direct sales products in overseas markets, the online training and education for direct sales business, the online membership invitations for direct sales business to achieve fission-style growth in direct sales.

25) Tiens distributors must comply with local laws and regulations and social media platform management regulations when conducting online promotion and social sharing. It is strictly prohibited to send other indecent nicknames that violate national laws and social morality, such as gender discrimination, racial discrimination, religion belief discrimination, personal insults, self-insults, promotion of violence, pornography and obscenity, etc. Quarrelling in the group is strictly prohibited. the content of the chat must not contain any abusive or insulting language, and must not conduct malicious personal attacks on others. Do not promote the discussion of political topics, do not make sensitive remarks, do not send spam, do not send advertisements, do not spam-flooding the screen maliciously, do not send over-sized pictures, and do not send indecent text and pictures.

26) Any of Tiens distributors is not permitted to:

a. Represent themselves as the employee or commercial partner of Tiens or organizations related to Tiens or engage in joining distributors with the pretext of giving employment in Tiens.

b. Represent themselves as the commercial agent, go-between person, business representative, delegate, manager, etc.

c. Take slandering, threatening or intimidating actions in any form against Tiens employees for the official activities they are bound to make as such.

d. Disclose the secrets of Tiens or any organization related to Tiens in any way, harming the interests of Tiens, and damaging the image of Tiens. Once the above actions are verified, Tiens reserves the right to pursue legal liabilities.


9. Responsibilities of Sponsorship

1) When sponsoring others to become Tiens distributor, a distributor must represent the TBP and TPP truthfully and honestly. During the representation, the Tiens distributor may require the potential distributor to read the application form, provided that he/she does not make any fraudulent, concealed or misleading statements about the TBP. During the representation, the distributor must especially stress on the following points:

---- The qualification of becoming a Tiens distributor

---- TBP (Tiens Business Plan)

---- Importance of attending various meetings organized by Tiens

---- TPP (Tiens Policy and Procedure)

---- Obligations and responsibilities of Tiens distributors

---- Compensation Plan

---- Categories, prices, indications, quality and purposes of Tiens products

---- Exit of distributors

2) It must be explicitly ascertained whether the potential distributor and his/her spouse were Tiens distributors. If one happened to be a Tiens distributor, the distributor can only sponsor the person Two Years after the termination of distributorship. In the event the sponsored person violates any of the provisions of the TPP in the future, leading to the situation wh ere Tiens has to give punishment, and the sponsoring distributor and the up-lines sustain losses, then the matter must be resolved by the concerned parties according to proper rules.

3) The sponsoring distributor must fulfil the following responsibilities:

a. Giving their downlines regular retailing trainings, guidance and encouragement. Keep in touch with all members of the network and solve their problems whenever it’s necessary.

b. Providing special trainings to ensure that all distributors in the direct-selling network operate according to TBP.

c. In case of any disputes among the downlines, mediating and solve the disputes in prompt and friendly manner.

d. Supervising the performance of the downline distributors to ensure professional operation and compliance with professional ethical standards, proper promotion of Tiens business and superior services.

4) No matter under what circumstances, Tiens distributors may not try to viciously recruit distributors by directly or indirectly assisting, instigating, intervening or persuading other distributors to leave their sponsoring line or network.

5) Tiens is dedicated to maintaining the integrity of all lines in networks, and it does not permit distributors to shift their lines arbitrarily; Tiens reserves the right to withhold approval for application for shifting sponsoring lines.

10. Responsibilities of honourable rank distributors

1) Besides the responsibilities as Tiens distributor and sponsor, honourable rank distributors must also fulfil the following ones:

a. Ensuring that all distributors in his/her network provide services to consumers in compliance with the TBP.

b. Ensuring that he/she serves as a role model by strictly abiding by the TPP and all revised rules laid down by Tiens; that he/she provides trainings to all distributors in his/her network so that the latter understand the focus in operating Tiens business and abide by the TPP and all revised Tiens rules.

c. In case the distributors in his/her network are located in different regions, the honorable rank distributor must provide online of offline trainings for distributors in various localities, or help them to participate the conference that boosts their Tiens business.

d. Honorable rank Distributor must actively organize and participate in systematic online education activities and cooperate with promotion. They must actively share and promote the relative content on social media platforms, and expand the visibility and influence of Tiens brand and business through product empowerment and content empowerment.

e. Honorable rank distributors must make great efforts to cultivate team members, actively carry out online promotion and community operations. They encourage team members to share their insights and experience of Tiens business and products, encourage team members to actively put forward reasonable suggestions, and encourage team members to communicate with each other and unite and help each other. At the same time, the online behavior of team members will be supervised and regulated by the honorable rank distributors.

2) Honorable rank distributors must keep up an active attitude in operating his/her network, and focus on cultivating and guiding the sound growth of the network; in case they fail to fulfill the following key responsibilities, or to play the role of the network’s leadership, Tiens has the right to withhold any bonuses, ranks, access to travel seminars or any other rewards or honors related to the distributor.

a. When discovering his/her downline distributors spreading in the market any negative remarks that are not conducive to Tiens development or hurt Tiens reputation, the honorable rank distributors must put an end to the behavior in the first time response, help the offending distributor to correct their wrong understanding, and report the matter to Tiens.

b. Honorable rank distributors must conduct education and training activities and network consulting services at least four times a month through online meetings. At the same time, they go to the market wh ere the team is located to provide on-site training or consulting services at least once a month. Regardless of online meetings or on-site training, the number of people covered at various ranks must reach more than 60% of the total number of teams and ranks ( the coverage in various countries is adjusted according to local conditions, but the minimum must be more than 30%), and the costs incurred are directly bored by the Tiens distributors. If on-site training cannot be achieved due to emergencies or force majeure, it must be reported to the local Tiens branch of the country.

c. Honorable rank distributors who engage in cross-border business must conduct education and training activities and network consulting services at least four times a month through online meetings. At the same time, they go to the market wh ere the team is located to provide on-site training or consulting services at least two times a year. Regardless of online meetings or on-site training, the number of people covered at various ranks must reach more than 60% of the total number of teams and ranks ( the coverage in various countries is adjusted according to local conditions, but the minimum must be more than 30%), and the costs incurred are directly bored by the Tiens distributors. If on-site training cannot be achieved due to emergencies or force majeure, it must be reported to the local Tiens branch of the country.

d. Tiens Distributors who have obtained Tiens Golden Lion and above ranks must cooperate with Tiens branches or system networks to organize at least two times of online/offline education training or BBS conferences each month, and conduct personal sharing and training according to needs.

e. Honorable rank distributors must actively implement strategies and policies laid down by Tiens, and work hard to expand markets and serve as a role model for distributors to boost the markets.

Distributors who want to upgrade to honorable rank must meet the performance standards listed in the Tiens business plan. They also need to meet the relevant regulations of the country or region for citizens to engage in business activities.

11. Responsibilities and Obligations of Tiens Distributors to Participate in Tiens One Body Multi-Wing Business

1) They should comply with national laws, regulations and various rules and regulations and other normative legal documents.

2) They follow the principles of voluntariness, fairness, honesty, and trustworthiness to carry out business activities; respect social ethics and maintain the good image of Tiens One Body Multipile Wings business.

3) When engaging in any activities related to the business of Tiens One Body Multipile Wings, they must fully comply with the relevant regulations in such Multipile Wings business sectors.

4) The information provided by the applicant when applying to become a multi-wings business associate must be true and valid. It is not allowed to borrow or fraudulently use the name of another person or use other improper methods to become a multi-wings business associate. If the applicant provides untrue or inconsistent information to Tiens as for the membership of the multi-wing business associate, Tiens reserves the right to deal with it as soon as it is discovered. At the same time, the relevant interests obtained in the multi-wing business are not protected.

5) Tiens distributors' responsibility for the promotion of multi-wing Business Products

a. The product must be sold to consumers at a clear price at the price stipulated by the multi-wing business, and no additional fees shall be collected without authorization. There shall be no improper behavior such as price discount or price reduction in disguise.

b. For products purchased by consumers, product demonstrations should be carried out. The use methods and precautions stated on the product labels should be explained. Any exaggerated or unfounded publicity should not be made on the multi-wing business and its products, and there should be no misleading explanation.

c. Distributors shall quickly handle consumer complaints about products with a sincere and polite attitude, and handle product returns and exchanges in accordance with the procedures prescribed by the multi-wing business.

d. It is not allowed to use the sales channels of Tiens multi-wing business to sell non-multi-wing business products.

6) Tiens distributors' responsibility for the promotion of multi-wing business

a. Don't promote getting rich quick or luxury life style enjoyment.

b. Do not disseminate any information on business and promotion policies that is not approved by Tiens Multi-wings business. Do not misrepresent any kind of information published by Multi-wings business. 

Section IV

Punishments on Violations and Measures to Ensure Correction thereof

1. Punishments on Violations by Distributors

1) When distributors are found in violation of the provisions of the TPP, Tiens has the right to give punishments to the offending distributor according to Rules Governing Review of Compliance of Distributors, TPP.

2) Tiens has the right to decide whether to issue a statement, as a warning, about the violation in the form of notice, circular memo, newsletter on Tiens website, internal journals, E-mails or at meetings; the statement may include, but are not limited to, such information about the offending distributor as name, distributor No., rank, details of violation and punishment.

3) In case a Tiens distributor receives sales rewards in a way violating Tiens rules, Tiens has the right to deduct and cancel the bonuses and ranks of parties concerned.

4) Punishments on violations are graded on a scale from one to nine, that is, punishments are made according to the grade in which the severity and adverse influence of the violations falls.

5) Punishment scale:

a. For 8 star and below ranks:

Grade 1: verbal warning

Grade 2: written warning. Tiens company will issue a written paper to urge correcting such misbehaviour.

Grade 3: 100% of the one-month bonus of such faulty distributors

Grade 4: 100% of the bonus in two months of such faulty distributors

Grade 5: 100% of the bonus in three months of such faulty distributors

Grade 6: Tiens company cancels the distributorship of such faulty distributors. Tiens company cancels all bonus and honors issued by Tiens to such faulty distributors.

b. For Bronze Lion to Star Gold Lion distributors:

Grade 1: verbal warning. Tiens company will instruct such faulty distributors to provide corrective aciton report in written paper.

Grade 2: Tiens company will freeze the bonus. Tiens company will cancel the right of the faulty distributors to attend any BBS conference or any other Tiens business meetings.

Grade 3: 100% of the one-month bonus of such faulty distributors

Grade 4: 100% of the bonus in two months of such faulty distributors

Grade 5: 100% of the bonus in three months of such faulty distributors

Grade 6: Tiens company cancels the distributorship of such faulty distributors. Tiens company cancels all bonus and honors issued by Tiens to such faulty distributors.

c. For Director and above rank

Grad 1: 100% of the one month bonus of such faulty distributors

Grad 2: 100% of the bonus in two months of such faulty distributors

Grad 3: 100% of the bonus in three months of such faulty distributors. Tiens company cancels all honors issued by Tiens to such faulty distributors.

Grade 4: Tiens company cancels the distributorship of such faulty distributors. Tiens company cancels all bonus and honors issued by Tiens to such faulty distributors.


6) Punishment:

For All Ranks:

1. Verbal warning. Tiens company will instruct such faulty distributors to provide apology letter and corrective action report in written paper.

2. Inform the Uplines / Sponsors to take corrective measures.

3. Tiens company will freeze the Distributor ID and the bonus. Tiens company will cancel the right of the faulty distributors to attend any BBS conference or any other Tiens business meetings.

4. Issue Show Cause notice and if no response / no valid response is given within Seven days of show cause notice then the ID will be Terminated. All Bonus and Offer benefits will be withheld.

5. Any Distributor involved in sponsor change (i.e. joined in different networks with same name, name of their parents, spouse, children, siblings or with same address) based on valid proofs will be terminated and their bonus, offers will be forfeited.

6. The Leader's involved in such Sponsor change will also be held responsible and their bonus will be withheld for 3 months and will be released only after company's approval.


7) Punishment for specific cases:

• ID will be suspended for 6 months for misconduct behaviour during Company Seminars, Meetings, Tours, Events.

• ID will be suspended for 3 months for selling Tiens products through Third party ecommerce portals.

• ID will be suspended for 3 months for falsely claiming to be a Medical representative / Doctor without being qualified.

• ID will be suspended for 3 months for selling educational courses to the Tiens distributors and giving them certificates without taking permission from the company.

• ID will be suspended for 3 months for showcasing Tiens trademark, products in misleading advertisements


8) In case distributors, who are major or potential parties involved in a compliance review in progress, apply for modification of some registered information, Tiens has the right to withhold the approval temporarily, and make decisions according to results of the review.

9) Tiens has the right to review the access of distributors under punishment to travel seminars, annual conference or other rewards.

10) In case of intervention of local government departments in cases of violations, Tiens may deal with the case in consideration of their opinions, and decide the grade of punishment according to the adverse influence of the violation on the local market.

11) Even if Tiens has not held responsible certain case of TPP violation or negligence, it does not mean that Tiens won’t pursue the responsibilities of the same violations by other distributors.

12) When Tiens conduct investigation and evidence collection upon receiving related complaint, Tiens distributors shall not provide false/fraudulent statements to Tiens which may disturb the investigation.

13) Without the knowledge of his network leaders, such new distributors register themselves in other sales team network to build Tiens business, Tiens company reserves the right to cancel its new registration.


2. Procedures for handling violations

1) Distributors may lodge a complaint within 3 months of the infringement of his/her rights (violation of rules).

2) In case distributor made an overdue complaint against any violations, Tiens has the right to refuse acceptance of the case.

3) Any distributor who wishes to lodge a complaint must submit supporting document including but not limited to Distributor Complaint Form, the complainant’s ID card and evidence that can prove the respondent’s violation.

4) Distributors may complaint through Tiens branches. Having done so, the distributor must refrain from leaving the registered address as much as possible and keep in touch with Tiens, accept enquiries/investigation and give further support materials as required.

5) Upon receiving and accepting the complaint from Tiens distributor, Tiens will start the investigation within prescribed time. During the process, the complaining distributor and the alleged offending distributor must actively work with Tiens. Tiens reserves the right to freeze the bonuses of the distributors concerned.

6) During the investigation, Tiens will take necessary measures to collect evidence as it thinks fit.

7) Tiens will handle the complaint according to Tiens rules and results from investigation, evidence collection and mediation, and notify both the complaining distributor and alleged offending distributor of its decisions.

8) The complaining distributor may appeal to Tiens for review of the case within 10 working days of the notification, with supplement of new evidences; when the 10-day period expires, it will be construed that distributors accept the decisions.

9) Upon receiving the appeal and new evidence, the CHQ will launch a review of the decisions on the case.

10) The decisions made by Tiens in light of the new evidences in the review process will be final, and the appealing distributor must accept same and may not renew his/her appeal.

3. Measures to ensure corrections (MEC)

1) If Tiens believes that within the network of a leading distributor, one or more distributor misrepresents the TBP, or seriously violates the TPP, Tiens may take MEC against all or part of the members of the network which can be withholding their respective bonuses for 3 months.

2) Before taking MEC, Tiens will inform the distributors of the reasons to ensure that they are aware of the necessity of the action.

3) When Tiens informs the distributors according to rules, they are permitted to make a statement about the whole incident, and make an investigation in his/her network within a prescribed period.

4) Distributors who have been subject to MEC should finish a thorough retraining to learn how to correctly represent and implement the TBP, and educate other distributors within the network. The retraining sessions will be hosted by leading distributor or other designated distributors under the supervision of Tiens.

5) The leading distributor or other designated distributors must submit retraining sessions’ agenda, which should contain date, time, venue, expected number of attendance and names of lecturers of the TBP.

6) During the retraining sessions, each attending distributor must sign in on attendance form, which should be submitted to Tiens by the leading distributor or other designated distributors

7) Tiens may delegate representatives to attend the retraining sessions, in order to keep informed about the proceedings and place special emphasis on the essential part of the TBP; the representatives may host the sessions instead of the original hosts when necessary.

8) If the distributor or relevant sponsors are slow or even fail to take proper and effective measures within the prescribed period, Tiens has the right to take further actions against them.

9) Any suspended ID of a distributor will be reactivated after the stipulated punishment term is over, only upon receiving an apology letter and subject to approval by the company.
